NOTICE OF EXPULSION AND ADMISSION
NOTICE HEREBY IS GIVEN that:
Pursuant to HRS 425E-603, as amended, from December 26, 2019, CALIFORNIA INVESTMENT REGIONAL CENTER LLC, whose address is 9911 Valley Blvd, El Monte, CA 91731 and doing business in Hawaii at 1441 Kapiolani Blvd., #1700, Honolulu, HI 96814, is expelled as the general partner from the Hawaii City Plaza LP, a limited partnership organized under Chapter 425E, by unanimous consent of other partners.
Pursuant to HRS 425E-801(3)(B), HAWAII EASTERN HOLDING INC., a domestic corporation, whose address is 1020 Keeaumoku Street, Unit #304, Honolulu, HI 96814, is now admitted by the majority of limited partners as the new general partner.
Pursuant to HRS 425E-404, the expelled general partner CALIFORNIA INVESTMENT REGIONAL CENTER LLC remains liable for its obligations while acting as general partner of Hawaii City Plaza LP, and HAWAII EASTERN HOLDING INC. the new general partner, is not liable to the existing obligations of the expelled general partner CALIFORNIA INVESTMENT REGIONAL CENTER LLC.
After the expulsion and admission, the Hawaii City Plaza LP continues its business. Meanwhile, any potential legal claims against Hawaii City Plaza LP under Article 8 of Chapter 425E shall be brought to the new general partner, HAWAII EASTERN HOLDING INC., Hawaii City Plaza LP’s new management for proper process.
